Vialdyne supplies vial-ready peptide active pharmaceutical ingredients (APIs) to regulated procurement teams. These Terms of Use ("Terms") set out the conditions on which Vialdyne ("Vialdyne", "we", "our", "us") makes the website at vialdyne.com, together with any subdomain or successor property, available to you.
The Site is built for, and directed only to, qualified institutional buyers — principally:
The Site is not directed to patients, consumers, or the general public, and nothing on it is an offer to sell finished drug products or to supply material for personal use. By using the Site you confirm you are acting in a professional procurement, quality, or research capacity on behalf of one of the categories above.
By accessing the Site or submitting an inquiry, you represent and warrant that:
We may, at our discretion, request evidence of pharmacy licensure, 503B registration, distributor authorisation, or end-use before responding to an inquiry, releasing documentation, or accepting an order, and we may decline to proceed where qualification cannot be established.
By accessing the Site you agree to be bound by these Terms and by our Privacy Policy. Where you access the Site for an organisation, "you" means both you individually and that organisation, and you confirm you are authorised to bind it.

Specifications, CAS numbers, sequences, regulatory notes, lead times, and supporting material on the Site are published for general information and may change without notice. They are a starting point for qualification, not a release specification.
The batch-specific Certificate of Analysis (COA) is the single authoritative document for the identity, purity, potency, and quality of any lot we supply. Where Site content and a lot COA differ, the COA controls. Commercial terms — price, minimum order quantity, lead time, payment terms, packaging, labelling, and any regulatory representation — become binding only in a written quotation and the corresponding supply agreement or invoice.
We may correct errors or omissions on the Site, including specification and lead-time information, at any time — including after you have submitted an inquiry — and may decline or cancel an order placed in reliance on information later found to be in error.
Material is supplied as an active pharmaceutical ingredient for further compounding, manufacturing, or research in compliance with the buyer's own regulatory obligations, unless a written agreement states otherwise. Several peptides referenced on the Site are the subject of active regulatory review (for example FDA Pharmacy Compounding Advisory Committee proceedings on the 503A and 503B bulks lists, EMA scientific advice, or national post-market action), and their status in your market may change.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SPECIFIC MATERIAL GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE IT AROSE, OR (B) USD 100.
Nothing in this section limits liability for our gross negligence or wilful misconduct, or for any liability that cannot be limited under applicable law.
You agree to defend, indemnify, and hold harmless Vialdyne and its affiliates against any third-party claim, damage, liability, cost, or expense (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your breach of any law or regulation; (c) your downstream handling, compounding, formulation, resale, or administration of any material we supply; or (d) any misrepresentation of your eligibility as a qualified buyer.
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters; acts of government; war, terrorism, or civil disturbance; epidemic or pandemic; cyber attack; utility failure; customs holds, embargoes, sanctions, or other trade-control action; carrier delay; raw-material shortage; or labour dispute. Affected obligations are suspended for the duration of the event.
We may suspend or terminate your access to the Site at any time, with or without notice, including on suspected breach of these Terms or applicable law. Provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive termination.
These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by the Shanghai International Arbitration Center (SHIAC) in Shanghai, conducted in English before a single arbitrator. The award is final and binding, and judgment may be entered on it in any court of competent jurisdiction.
Either party may nonetheless seek injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property or confidential information.
Where a signed commercial agreement (master supply, OEM, or custom synthesis) contains its own dispute-resolution terms, those terms prevail over this section to the extent of any conflict.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions stay in full effect. These Terms, together with our Privacy Policy and Cookies Policy and any signed commercial agreement between us, are the entire agreement between you and Vialdyne regarding the Site and supersede prior communications on that subject.
We may revise these Terms from time to time. Revisions take effect on the Effective Date shown at the top of this page; continued use of the Site after that date is acceptance. We will give reasonable advance notice on the Site of material changes.
